NuWave Technologies, Inc. "NuWave" Software Evaluation Agreement
IMPORTANT - BEFORE REQUESTING A LICENSE KEY FOR ANY SOFTWARE FROM THE NUWAVE-TECH.COM WEB SITE, CAREFULLY READ THE TERMS AND CONDITIONS OF THIS EVALUATION AGREEMENT. BY REQUESTING THE LICENSE KEY AND/OR USING THE SOFTWARE, YOU ARE CONSENTING TO BE BOUND BY AND ARE BECOMING PARTY TO THIS EVALUATION AGREEMENT.
1. NuWave is willing to provide a full functioning evaluation copy of the SOAP/AM® Product(s) ("Software") listed below including, object code, product documentation, and sample code. This will allow you ("Company") to become familiar with the benefits of the Software for the possibility of acquiring a licensed copy. The Software includes:
- SOAP/AM Server
- SOAP/AM Web Service Client
2. The evaluation period will begin upon the issuance of a license key and will continue for 30 days.
3. Company agrees to report to NuWave any and all problems relating to the Software. However, Company recognizes that, because of the nature of the evaluation, NuWave may desire not to repair or correct any problem and has no obligation to do so.
4. Company agrees not to use the evaluation copy in a production environment. Any use of the Software is at the sole risk and liability of Company. COMPANY RECOGNIZES THAT ALL ITEMS PROVIDED TO COMPANY HEREUNDER ARE DELIVERED "AS IS". NO WARRANTIES ARE GIVEN, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF FITNESS OR MERCHANTABILITY. IN NO EVENT WILL NUWAVE BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES OR ANY LIABILITY IN TORT INCURRED BY OR UNDER THIS AGREEMENT FOR EVALUATING THE NUWAVE PRODUCTS.
5. Company agrees that the Software is confidential. Company will not disclose any information about the Software to any third party without NuWave's prior written permission.
6. Company agrees not to modify, reverse engineer and/or de-compile the Software.
7. Company agrees that the Software will at all times remain the property of NuWave.
8. Company is not located in Afghanistan, Cuba, Iran, Iraq, Libya, North Korea, Serbia/Montenegro (Yugoslavia), Sudan, or Syria and is not listed on the U.S. Government Denied and Restricted Parties List.
9. This Agreement may not be assigned by either party without the written consent of the other.
10. This Agreement sets forth the entire understanding between parties with respect to the matters set forth herein and supersedes all prior representations, understandings or agreements, whether written or oral, express or implied, with respect to this evaluation.
11. This Agreement is governed by the laws of the State of New Hampshire.
